Partnership and Shareholder Disputes

When the people who own a business stop agreeing, the business itself becomes the hostage. Our firm handles partnership and shareholder disputes across Florida, including deadlock between fifty-fifty owners, disputed buyouts, and fights over access to company books and records. We represent owners on both sides of a business divorce, whether the goal is to force a fair exit or to keep control of a company someone else is trying to take.

Most firms treat a partnership breakup as ordinary commercial litigation. We do not. A business divorce is its own practice, because the objective is usually not a judgment years from now. It is a clean exit at a defensible number, with the company still standing when it is over.

Owners pushed out of their own companies have specific protections under Florida law. We handle minority shareholder rights claims and shareholder oppression matters, including the freeze out tactics that squeeze a minority owner off payroll, off the board, and out of distributions while the company keeps operating.

Breach of Contract and Commercial Litigation

Most business disputes start as a broken promise. We litigate breach of contract and commercial litigation matters in Florida state and federal court, from failed deals and unpaid obligations to fraud and interference claims. Where a partner, officer, or manager used a position of trust to take something that was not theirs, we bring breach of fiduciary duty claims to recover it.

Some of this work is not slow. When money is moving, records are disappearing, or a business is being locked out of its own accounts, the first days decide the case.

Real Estate and Property Disputes

Miami real estate produces litigation at every stage, and we handle real estate litigation across all of it: failed transactions, title and ownership fights, joint venture breakups, construction and development conflicts, and condominium and association disputes. We also advise on commercial real estate matters for buyers, sellers, developers, and investors.

For property owners, the dispute is often with the tenant. We represent landlords in commercial evictions and lease enforcement, including nonpayment, holdover tenants, and defaults that need to be handled without shutting down the rest of the building. A commercial eviction is not a residential eviction with bigger numbers. The notice requirements, the lease terms that control, and the leverage each side actually holds are all different, and the cost of treating them as the same is usually a restart.
